Nope. You’re not overwriting Windows, you’re updating an old program to a newer version. Just like a newer version of MS Office.
In any case, you should probably be on IE9 by now, I’m not even sure you CAN install IE8 any more…I think it will update itself to the latest version unless you tell it not to.
